Terms of Service

These Terms of Service (the “Terms”) are an agreement between you (“you”, the “Customer”) and Learning Science, Inc., 7027 West Broward Blvd, Plantation, FL 33317, which operates OSP.net (“OSP.net”, “we”, “us”), governing your use of the OSP.net service at osp.net and its subdomains (the “Service”). By creating an account, starting a trial, or paying for a subscription, you agree to these Terms and to the Acceptable Use Policy, which is part of this agreement.

1. What the Service is

OSP.net provisions and operates a private, isolated AI agent instance for you on our infrastructure. Your instance runs in its own container with its own network and its own persistent storage volume (your agent’s memory, sessions, and skills). You connect it to a messaging channel (Telegram in the current release) and to an AI model provider of your choosing using your own API key.

OSP.net does not provide, resell, or meter AI model inference. Your agent calls your chosen model provider directly with your key, under your own agreement with that provider (Section 5).

2. Accounts

You sign in with an email magic link. You are responsible for the security of your email account, for all activity under your OSP.net account, and for ensuring the information you give us is accurate. You must be at least 18 years old and able to form a binding contract. One person or entity may not hold multiple free trials (see Section 4).

3. Subscription, billing, cancellation

4. Free trial

The free trial is a real, time-boxed agent instance (currently 72 hours, no payment method required). Trials are limited (currently one per email address per 30 days, with per-network limits) and we may change, restrict, or withdraw the trial at any time. When a trial expires without an upgrade, the instance is reclaimed and its data may be deleted. Upgrading before expiry converts the same instance in place, with its memory intact.

6. AI output — important disclaimer

Your agent generates content and can take actions (send messages, browse, work with files, call connected tools) using a third-party AI model. AI output can be inaccurate, incomplete, offensive, or simply wrong, and may not reflect real facts or current events. You are responsible for reviewing AI output before relying on it and for every action your agent takes on your behalf. Do not use the Service as a substitute for professional advice (legal, medical, financial, or otherwise), and do not use it where an error could cause death, personal injury, or significant damage.

7. Your content

You retain all rights to the content you and your agent create and store in your instance (“Customer Content”). You grant us only the limited rights needed to operate the Service: to store, transmit, back up, and display Customer Content to you, and to pass it to the third-party services you have connected (your model provider, your messaging channel). We do not use Customer Content to train AI models, and we do not sell it. We access tenant data only to operate, secure, and support the Service, or as required by law.

8. Acceptable use

Use of the Service is subject to the Acceptable Use Policy. We may suspend or terminate instances that violate it, that present a security risk, or that materially degrade the shared infrastructure for other customers — with notice where practical, immediately where necessary.

9. Service changes and availability

We actively develop the Service and may add, change, or remove features. We aim for high availability but the Service is provided without an uptime guarantee or SLA at this time. Maintenance, upstream-provider outages (Stripe, Supabase, DigitalOcean, your model provider, Telegram), and fleet upgrades may cause interruptions; your agent’s memory volume persists across our image upgrades.

10. Intellectual property

The Service, including its software, branding, and site content, is owned by Learning Science, Inc. or its licensors. The underlying agent runtime includes open-source software used under its respective licenses. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own internal purposes during your subscription; they transfer no other rights.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED OUTPUT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

13. Indemnification

You will defend and indemnify us against third-party claims arising from your Customer Content, your violation of these Terms or the Acceptable Use Policy, your violation of a model provider’s or channel provider’s terms, or actions taken by your agent at your direction.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate the Service for material breach of these Terms (including the AUP), for non-payment, or if required by law. On termination, Sections 6–7 and 10–16 survive. Data handling on termination is described in the Privacy Policy.

15. Governing law

These Terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Florida, and each party consents to personal jurisdiction there.

16. Changes to these Terms

We may update these Terms. For material changes we will give notice (email or dashboard) at least 14 days before they take effect; continued use after the effective date is acceptance. The “Last updated” date above always reflects the current version.
